These Terms of Service ("Terms") constitute a legally binding agreement between you and Somos Alliance Ventures Inc. ("Company," "we," "us," or "our"), a registered C-Corporation. By purchasing any advisory service, submitting an inquiry, or using this website, you agree to be bound by these Terms.
1. Company Information
Somos Alliance Ventures Inc. is a registered C-Corporation with an Employer Identification Number (EIN) on file with the Internal Revenue Service. Our contact email is info@somosallianceventures.com.
2. Services
We provide corporate advisory services including Strategic Advisory Engagements, Executive Advisory Retainers, and Transaction & Capital Advisory. All services are delivered as described on our Services & Pricing page. We reserve the right to modify service descriptions, pricing, or availability with reasonable notice.
3. Payment Terms
All fees are quoted and billed in United States Dollars (USD). Payment is processed securely through Stripe. We accept Visa, Mastercard, American Express, and Discover. Payment is due in full at the time of engagement confirmation. For monthly retainer services, billing recurs on the same date each month until cancelled. Somos Alliance Ventures Inc. does not store payment card data.
4. Scope of Advisory Services
Our advisory services are professional consulting services and do not constitute legal, financial, accounting, or investment advice. We do not hold licenses as attorneys, certified public accountants, registered investment advisors, or broker-dealers. You are responsible for consulting licensed professionals for decisions requiring such expertise. Our deliverables represent independent professional opinion based on the information you provide.
5. Confidentiality
We treat all information shared during engagements as confidential. We will not disclose your business information to third parties without your consent, except as required by law. This obligation survives termination of the engagement. You similarly agree not to disclose the proprietary frameworks or advisory outputs we deliver to third parties without our written consent.
6. Intellectual Property
Advisory briefs, frameworks, and written materials delivered as part of an engagement are licensed to you for your internal business use only. We retain ownership of our methodologies, templates, and proprietary frameworks. You may not resell, publish, or distribute our deliverables without written authorization.
7. Cancellation & Refunds
Cancellation and refund terms are described in our Refund & Cancellation Policy, which is incorporated into these Terms by reference. By purchasing a service, you acknowledge that you have read and understood those terms.
8. Limitation of Liability
To the fullest extent permitted by applicable law, Somos Alliance Ventures Inc. shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of our services or reliance on our advisory outputs. Our total liability in connection with any engagement shall not exceed the fees paid for that specific engagement.
9. Dispute Resolution
In the event of a dispute arising from these Terms or any engagement, the parties agree to first attempt resolution through good-faith negotiation. If a dispute cannot be resolved informally, it shall be resolved by binding arbitration in accordance with applicable rules. These Terms are governed by the laws of the United States applicable to contracts entered into and fully performed within the United States, without regard to conflict of law provisions.
10. Modifications
We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of our services after such changes constitutes acceptance of the revised Terms.

Privacy

This Privacy Policy describes how Somos Alliance Ventures Inc. collects, uses, and protects information you provide when using our website or engaging our services.

- Payment information (processed and stored by Stripe — we do not receive or store card data)

We use the information we collect to:
- Respond to inquiries and scope advisory engagements
- Deliver advisory services you have purchased
- Process payments through Stripe
- Communicate about your engagement, including scheduling and deliverables
- Comply with legal obligations
We do not use your information for advertising purposes and do not sell your data to third parties.
3. Information Sharing
We do not sell, rent, or trade your personal information. We may share information only with:
- Stripe: Our payment processor. Stripe's privacy practices are governed by their own Privacy Policy at stripe.com/privacy.
- Legal compliance: If required by law, regulation, or valid legal process.
4. Data Retention
We retain client information for as long as necessary to fulfill the purposes described in this policy, maintain accurate business records, and comply with applicable legal obligations. Engagement materials and correspondence are retained for a minimum of three years following the conclusion of an engagement.
5. Security
We take reasonable measures to protect the information you share with us, including using secure email communication and not storing payment card data (all payment data is handled by Stripe). However, no method of transmission over the internet is completely secure, and we cannot guarantee absolute security.
6. Your Rights
You may request access to, correction of, or deletion of personal information we hold about you by contacting us at info@somosallianceventures.com. We will respond to requests within 30 days. Note that some information may be retained for legal compliance purposes.
7. Cookies
This website does not use tracking cookies or third-party analytics. Our site may use session-level functionality inherent to the browser, but we do not deploy advertising trackers or behavior-monitoring scripts.

Billing
Refund & Cancellation Policy

Somos Alliance Ventures Inc. is committed to transparent billing. This policy describes your options for cancellations and refunds for each of our three advisory service types.
Strategic Advisory Engagement
($2,000 one-time)
Within 48 hours of payment, before work commences
Full refund if cancelled within window and before work begins; no refund once analysis has commenced
Executive Advisory Retainer
($1,750/mo recurring)
Any time before next billing date
Cancel anytime; no prorated refunds for partial months; billing stops at end of current period
Transaction & Capital Advisory
($4,500 one-time)
Within 48 hours of payment, before work commences
Full refund if cancelled within window and before work begins; no refund once project work has commenced
One-Time Engagement Cancellations
For the Strategic Advisory Engagement and Transaction & Capital Advisory, you may request a full refund within 48 hours of payment confirmation, provided that no substantive advisory work has commenced. "Work commenced" is defined as the completion of the initial scoping session or the beginning of any research, analysis, or document preparation. After work has commenced, no refund will be issued.
Monthly Retainer Cancellations
The Executive Advisory Retainer is a month-to-month subscription. There is no minimum term. You may cancel at any time by emailing info@somosallianceventures.com before your next billing date. Cancellation takes effect at the end of your current billing period — you retain access to advisory services through the end of the period for which you have paid. We do not issue prorated refunds for partial months.
How to Request a Refund or Cancellation
To request a refund or cancel a service, email us at info@somosallianceventures.com with:
- Your full name and email address used for the purchase
- The name of the service purchased
- Your Stripe order or payment reference number (found in your Stripe receipt)
- A brief description of your reason for cancellation
We will respond within two business days. Approved refunds are processed through Stripe and typically appear within 5–10 business days depending on your card issuer.
Billing Disputes
If you believe you have been charged in error, contact us at info@somosallianceventures.com before initiating a chargeback with your card issuer. We take billing disputes seriously and will work to resolve them promptly. Unresolved disputes may be escalated to Stripe's dispute process.
